Terms of
Service

1 · Agreement

These Terms of Service govern your use of the website operated by 合肥念早商贸有限公司 (Hefei Nianzao Trading Co., Ltd.), a wholesale trading company registered at Room 1503, Block A, Xindi International, Quanjiao Road & Jingquan Lane, Yaohai District, Hefei, Anhui Province, China. By accessing the site you agree to these terms. If you do not agree, do not use the site.

2 · What This Site Is

This site is an informational brochure and contact channel for a merchant wholesale business. Product-line descriptions on the site are illustrations of trade scope, not offers to sell. Availability, pricing, quantities, and terms are established only through direct written quotation and a confirmed order. Nothing on this site constitutes a binding offer, and submitting the contact form creates no contract.

3 · Wholesale Transactions

Actual purchases are governed by the specific commercial documents issued for each transaction — quotations, order confirmations, manifests, invoices, and any separate written agreements. Where those documents conflict with anything stated on this site, the transaction documents control. Delivery terms, risk transfer, and warranties are defined in those documents, not on this website.

4 · Regulated and Live Lots

Certain listed product lots are subject to licensing and regulation, including tobacco products, agricultural chemicals (pesticides, herbicides, fertilizers), and live goods (pets, live bait, plants, and nursery stock). We supply regulated lots only to buyers holding valid licenses and permits, and only in compliance with applicable national and international law — including tobacco trade rules, chemical-handling regulations, animal-welfare standards, and phytosanitary requirements. We will refuse any transaction we cannot lawfully complete. You are responsible for ensuring that your purchase, import, possession, and resale of any regulated goods is lawful in your jurisdiction.

5 · Acceptable Use

You agree not to:

• Use the site for unlawful purposes or to solicit unlawful transactions.
• Misrepresent your identity, licensing status, or business credentials.
• Attempt to disrupt, probe, or gain unauthorized access to the site or its infrastructure.
• Scrape, harvest, or republish site content systematically without written consent.
• Use the site to transmit malware, spam, or deceptive communications.

6 · Intellectual Property

All site content — text, layout, graphics, illustrations, and code — is the property of the company or its developer and is protected by applicable intellectual-property law. You may view and print pages for business-evaluation purposes. Any other reproduction or redistribution requires written permission.

7 · No Professional Advice

Information on this site does not constitute legal, tax, customs, export-control, phytosanitary, animal-welfare, or investment advice. Consult qualified professionals for compliance and regulatory questions affecting your business.

8 · Disclaimer of Warranties

The site is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the site will be uninterrupted, error-free, or secure, or that descriptions are current or complete.

9 · Limitation of Liability

To the maximum extent permitted by law, the company, its officers, and its developer shall not be liable for indirect, incidental, consequential, special, or punitive damages — including lost profits or business opportunities — arising from use of or inability to use this site. Our aggregate liability related to the site shall not exceed the greater of one hundred US dollars (US $100) or the amount you paid us for the specific transaction giving rise to the claim.

10 · Third-Party Services

The site is hosted on Firebase Hosting (Google LLC). Your use of the site is also subject to the technical operations of that platform. We are not responsible for third-party services, and references to them do not constitute endorsement.

11 · Privacy

Use of the site is also governed by our Privacy Policy, which is incorporated into these terms by reference.

12 · Indemnification

You agree to indemnify and hold the company harmless from claims, losses, and expenses (including reasonable legal fees) arising from your misuse of the site, your breach of these terms, or your violation of applicable law — including any misrepresentation of licensing status for regulated goods.

13 · Governing Law and Disputes

These terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law principles. Disputes arising from or relating to these terms or use of the site shall be subject to the exclusive jurisdiction of the courts with jurisdiction over our registered office in Hefei, Anhui.

14 · Changes to These Terms

We may modify these terms at any time by posting a revised version. Changes take effect upon posting. Continued use of the site after changes are posted constitutes acceptance of the revised terms.
